Nevada Day

Nevada celebrates the day that it became a state. I am not sure if any other states do that. If you happen to hear of any please let us know. Anyway Nevada came into the Union on 10/31 - Halloween. When we first started in this business 16 years ago Nevada Day was celebrated on Halloween. On Nevada Day everything that is State shuts down. This includes the Nevada Secretary of State. Now that the politicians have become involved Nevada Day has been changed to the last Friday of October to make a 3 day weekend.

This means that tomorrow we will not be able to file and Corporations, LLC's etc. I know many of our competitors will be closed on this day but we will be open (although with a limited staff). So please call us with all of our questions and Nevada Incorporation needs. 775-577-4822

Name Availability Part 3

This is a following up to Part 2 of Name Availability do's and don'ts. In addition to dropping all endings you should make sure that you drop and words that appear as endings. For example if you utilize Nevada Resident Agents Company, LLC you would drop the Company and the LLC because that is what the State will do when comparing name to see if they are too close or not.

An extreme we saw the other day was a client who wanted Magicorp LLC. The State said that was too close to Magi, Inc. They were dropping the corp and the LLC. This will not happen all of the time but it is not worth the delay to try it. Please call us with any questions 775-577-4822!

Name Availability Part 2

When searching on the Secretary of State of Nevada's website for name availability it is better to leave off the ending of the company name you are searching. For example if you want the name Nevada Resident Agent, Inc. leave the Inc. off when performing the search. The reason for this is that the State considers all endings to be the same. Therefore an ending of Inc. is the same as LLC and Corporation etc.

Many people prepare their own articles and check the name only to have us call and tell them that the name they chose is unavailable because their is a similar name with a different Corporation/LLC ending.

When we first started doing this 16 years ago the studies said that 1 in 4 people will be sued. Now that number is at 1 in 3 will be sued. It does not say that then could be sued it says 1 in 3 WILL be sued.

According to an articles in the Wall Street Journal - This is one of our big fears. Choosing a Nevada Resident Agent Part 2

Another item you may want to find out about when selecting your Nevada Resident Agent is how they handle the renewals. The Secretary of State of Nevada sends out the renewals 3 months ahead of the renewal date. So the first item you need to ensure that your Resident Agent will send you that renewal.

The second item you should find out if if they do anything other then just send you the renewal. With the renewals being sent out 3 months ahead of time many people will put it to the side thinking that they will take care of it when it gets closer. As usual many times that "later" never occurs because you forget about it. You need to find a Nevada Resident Agent that will remind you when the date is approaching.

Choosing a Nevada Resident Agent

It is very important they you carefully chose your Nevada Resident Agent and clarify what they will and will not do as part of their service. We have had many people call us over the years and tell us that their current Nevada Resident Agent did not send them their renewal List of Officers. You can imagine the problems this can cause. Many of these companies were in default or revoked when they called us. Nevada LLC Taxation Part 2

We previously discussed the 4 different ways your Nevada LLC can be taxed. The single entity requires a little more in depth discussion. The IRS considers a single entity LLC to be either a single person or another entity. For the purposes of taxes the IRS considers a husband and wife as a single entity. If you are a single entity they want you to file the LLC return on your personal return. This can be a positive or negative feature. In the positive it will cost you less with your accountant. A very big negative could be that you will now pay self employment taxes on everything you made. That could prove very costly. Make sure prior to forming your Nevada LLC that you have discussed everything with your accountant to ensure that you are structuring yourself so as to minimize your taxes.

Nevada LLC Taxation

If you chose to form a Nevada LLC you will need to determine how you would like to have it taxed when you apply for your EIN. You have the following choices:
  1. Corporation - C Corp
  2. Corporation -S Corp
  3. single member entity
  4. partnership
Each of those choices has different tax implications for you. They range from flow through income to potential for double taxation. So prior to starting your Nevada LLC you should contact your accountant and determine which way would be best for you.

We do not publish a list of our shelf companies on our website because we do not think this is a very good practice. If we published all of the names and age then a record would be out there that lets everyone know that your company is not really as old as you profess when you start to use it. Nominee Officer part 2

If you are thinking about utilizing a Nominee Officer it would be best to decide on this prior to filing the Articles of Incorporation. Many people prepare their own articles and place their name on the Articles of Incorporation or have their incorporation company do so. They then decide later that they need a Nominee Officer so they obtain one and place them on the Officer List. The problem with this is that their name is on Public Record. It will not show up on the Secretary of State's website because they were not an officer but it is still on the original Articles of Incorporation which anyone can obtain. This could very damaging if the company was used for asset protection. Nominee Officer Bank Accounts

For a wide variety of reasons people chose to utilize a Nominee Officer for their Nevada Corporation and/or Nevada LLC. Change of Resident Agent part 2

In a previous blog we discussed the ways to change your Nevada Resident Agent to Silver Shield Services, Inc. What we did not cover was the cost to do so. The cost with the Nevada Secretary of State to file the "Change of Resident Agent form" is $60.00. This is a State fee not our fee. However we will pay 1/2 of this fee ($30.00).

Many people look at this list and say that anyone on it cannot be a Nevada Resident Agent or Nevada Registered Agent – this is not true! Office Package

Many people have their Nevada Corporation or Nevada LLC and do not have a presence in Nevada. By presence we mean an office, telephone, bank account and other evidences that in fact you are a Nevada Corporation or LLC and not just a sham. If you do not have this proof you really do not have the protection you think you have. Time to Incorporate 2

If you do not want to wait for the normal processing time (see previous blog) for the incorporation of a Nevada Corporation, LLC or other entity the Secretary of State of Nevada does offer a solution. They have a 24 hour expedite. The cost for this is $125.00 and our fee is $25.00. This guarantees that the company will be formed in 24 hours but does not guarantee that we will receive it back within 24 hours. They do reserve the right to not be done within 24 hours if circumstances prohibit it. This occurs every year at the end of the year as everyone rushes to get an incorporation date of the current year.

The time it takes the Secretary of State of Nevada to approve the submission of your Nevada Corporation or Nevada LLC varies throughout the year. Over the past year it has gone anywhere from 2 days to 3 weeks. The amount of time depends upon the number of Nevada Corporations or Nevada LLC's currently waiting for review for approval. Currently the State is taking about 1 week to process the paperwork for a Corporation or LLC. Many of our competitors try and charge for this service or advertise that they will give you this service for free if you utilize their services. Don't be fooled by this. The Secretary of state offers free name availability on their website. Just type in the name choice you have in mind and click on search.
